Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, BMW Industries has informed that the Board of Directors of the Company at their meeting held on 29th August, 2025 have resolved to pass Special Resolution for Appointment of: • Joginder Pal Dua, Additional Director as a Non-Executive Independent Director of the Company for a term of 5 consecutive years with effect from 29th August, 2025, subject to approval of the Members through Postal Ballot. • Prahlad Kumar, Additional Director as an Executive Director of the Company for a term of 5 consecutive years with effect from 29th August, 2025, subject to approval of the Members through Postal Ballot. Further, the company has enclosed the Schedule of events for Postal ballot. Also, the company has informed that the Register of Members/ List of Beneficial Owners as on Friday, 24th October, 2025 (End of Day) will be considered for the purpose of sending Notice of Postal Ballot and for providing remote e-voting facility to the members.
