Allcargo Gati informs about scheme of arrangement

Allcargo Gati has informed that the Hon’ble National Company Law Tribunal, Mumbai Bench, vide its Order dated October 10, 2025, has sanctioned the Composite Scheme of Arrangement and Amalgamation involving: Allcargo Supply Chain Private Limited (ASCPL - Transferor Company 1);  Gati Express and Supply Chain Private Limited (GESCPL - Transferor Company 2); Allcargo Gati Limited (formerly known as GATI Limited) (AGL - Transferor Company 3 / Transferee Company 1); and Allcargo Logistics Limited (ACL - Transferee Company 2 / Demerged Company). Allcargo Gati has informed that Form INC-28 along with the certified copy of the NCLT Order has been filed today, November 1, 2025, with the Registrar of Companies, Mumbai. Accordingly, the Scheme has become effective from November 1, 2025 (Effective Date) pursuant to Clause 40 of the Scheme. Consequently, Allcargo Gati stands amalgamated with and into Allcargo Logistics and has ceased to exist as a separate legal entity from the Effective Date. In view of the above, the Board Meeting of Allcargo Gati, scheduled on November 5, 2025, to consider and approve the unaudited financial results for the quarter ended September 30, 2025, stands cancelled. The financial results of Allcargo Gati shall be incorporated in the consolidated financial statements of Allcargo Logistics, in accordance with applicable accounting standards and the approved Scheme. This intimation is being made pursuant to Regulations 29(3), 30, and 46 of the Listing Regulations.
