Nandan Denim has informed that the Company have received a notice from BSE vide email reference no. SOP-CReview/QTR-September 2025 dated November 28, 2025 and from National Stock Exchange of India Limited vide email reference no. NSE/LIST/C/2025/1268 dated November 28, 2025, towards alleged non-compliance of Regulation 17(1A) of the SEBI (LODR) Regulations, 2015. They hereby clarified that clerical mistake in the outcome of the Board meeting dated August 06, 2025 has been rectified on the same day and they have enclosed the corrigendum to the Outcome of Meeting of the Board of Directors of Nandan Denim Limited - August 06, 2025. After that, mentioned the date of appointment of Ambalal C. Patel with effect from the approval of members i.e. September 17, 2025 in all documents submitted to the Stock exchanges and Registrar of Companies (ROC). Company has complied with Regulation 17(1A) of the SEBI (LODR) Regulations, 2015, Ambalal C. Patel has been appointed with effective from approval of members dated September 17, 2025 and they are in the process of filing waiver application with the designated Stock Exchange along with the supporting documents in response to the above said notice. Disclosure of information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November, 2024 is enclosed as ‘Annexure - I’.
