Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, NCL Industries has informed that the Company have received a notice from National Stock Exchange of India vide email reference no. NSE/LIST/C/2025/1268 dated November 28, 2025 and from BSE vide email reference no. SOP-CReview/QTR-September 2025 dated November 28, 2025, regarding alleged non-compliance/delayed compliance of Regulation 17(1E) of the SEBI (LODR) Regulations, 2015) with respect to the Board committees constitution. In view of the above, the company is in the process of filing waiver application with the Stock Exchange (i.e. NSE and BSE) along with the supporting documents in response to the above said notice. The details as required to be provided as per sub-para 20 of Para A of Part A of Schedule III of the SEBI (LODR) Regulations, 2015 are enclosed.
