Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), as amended, The Sandesh has informed that Hardik Patel (Membership Number: A55828) has resigned from the position of the Company Secretary and Compliance Officer (‘Key Managerial Personnel’) of the Company, vide his resignation letter dated April 19, 2025, with effect from May 21, 2025 (after the closure of business hours), due to his personal reasons. Further, Hardik Patel ceased to be the KMP under the provisions of the Companies Act, 2013, and Regulation 30(5) of the Listing Regulations for making the required disclosures to the Stock Exchange related to the materiality of any event or transaction, effective from May 21, 2025 (after the closure of business hours). Furthermore, he has confirmed that there are no other material reasons for the resignation other than those provided in his resignation letter. The Company has completed the necessary formalities related to his resignation. The details required under Regulation 30 of the Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, are annexed and marked as Annexure A. A copy of the Resignation Letter giving detailed reasons for his resignation is annexed and marked as Annexure B.
