Sayaji Hotels has informed that this is with reference to letter dated 3rd March, 2026 regarding the Postal Ballot notice dated 26th February, 2026 seeking the consent of the Members by way of ordinary resolution through remote E-Voting on the following resolution: Appointment of Kayum Razak Dhanani (DIN: 00987597) as a Non-Executive Non-Independent Director of the Company. In this regard, based on the Report of the Scrutinizer dated 7th April, 2026, Sayaji Hotels has informed that the aforementioned resolution has been duly approved and passed by the Members of the Company with the requisite majority on 6th April, 2026 and is deemed to be passed on Monday, 6th April, 2026 being the last date for the remote e-voting. The company has enclosed the following: i. Report of the Scrutinizer dated 7th April, 2026, pursuant to Sections 108 and 110 of the Companies Act, 2013 read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014. ii. Voting results as required under Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 The results of the Postal Ballot along with the Scrutinizer's Report are available on the Company's website www.sayajihotels.com.
