Pursuant to the provisions of Regulation 30 and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulation’), R.P.P Infra Projects has informed that the Board of Directors of the Company at its meeting held on Monday, April 20, 2026 have approved/noted the following: 1. Appointment of Mr. K Jagannathan (DIN: 11666595) as an Additional Director designated as Non-Executive Independent Director for a tenure of 2 years with effect from 20th April 2026 subject to approval of the shareholders of the Company. 2. Taking note of the resignation of Mr. Venkatesan Elliah Naidu (DIN:07389056) who has tendered his resignation from the position of Independent Director of the Company, with effect from 02nd March 2026. 3. Reconstitution of various Committees of the Board consequent to resignation and appointment of Independent Director(s) in compliance with SEBI Listing Regulations and Companies Act, 2013. 4. Appointment of Mr. Venkatesan Elliah Naidu as Chief Executive Officer for a period of 1 year. The Company has further informed that Mr. Venkatesan Elliah Naidu had earlier ceased to be an Independent Director of the Company with effect from 2nd March 2026 upon resignation, prior to his appointment as CEO. The Nomination and Remuneration Committee and the Board, after due evaluation of his qualifications, experience, and suitability, have approved his appointment in the best interest of the Company. Further, Mr. Venkatesan Elliah Naidu did not participate in the deliberations or decision-making process pertaining to his appointment as CEO. Additional disclosures on the above matter, as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFDPoD-1/P/CIR/2023/123 dated July 13, 2023, are enclosed as Annexure-A to C.
