BJ Duplex Boards has informed that pursuant to Regulation 45 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, a listed entity is required to include, in the explanatory statement to the notice seeking shareholders’ approval for change of name, a certificate from a Practicing Chartered Accountant stating compliance with the conditions provided in sub-regulation (1). In this connection, they respectfully submit that due to an inadvertent oversight, the said certificate from the Practicing Chartered Accountant could not be annexed with the Notice of the Extra-Ordinary General Meeting (EGM) circulated to the shareholders. The said certificate, which was inadvertently not annexed to the EGM Notice, is now enclosed for reference. The Company further undertakes that: The said certificate shall be placed before the shareholders at the ensuing EGM; and the certificate shall also be submitted to the Stock Exchange along with the outcome of the Extra-Ordinary General Meeting scheduled to be held on May 08, 2026 and other requisite filings.
