Arkade Developers has informed that pursuant to Regulation 30 read with Para A of Part A of Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company in their meeting held today 3rd July, 2025 have approved the execution of a Share Purchase Agreement (SPA) for the acquisition of 100% shares in Filmistan (FPL), pursuant to which FPL will become the wholly owned subsidiary of the Company. The detailed disclosure as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFDPoD-1/P/CIR/2023/123 dated July 13, 2023 and SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, as amended, is enclosed as Annexure-A. The meeting of the Board of Directors of the Company commenced at 10.00 am and concluded at 10.40 am.
