Nova Agritech has informed that Kiran Kumar Adapa (DIN: 09087754), Independent Director vide his letter dated 12th January, 2026 has tendered his resignation from the post of Independent Director of the Company with effect from 12th January, 2026 – 9.00 am due to his professional commitments. The Company has received confirmation from Kiran Kumar Adapa that there are no other material reasons for his resignation other than those provided in the resignation letter. Accordingly, the Board in its meeting held today, 12th January, 2026, which was called at shorter notice, took note of the aforesaid resignation and resolved for – (i) Take note of the Resignation of Kiran Kumar Adapa, Independent Director of the Company- The Disclosure as required under SEBI Circular SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November, 2024 and the resignation letter is enclosed herewith as Annexure A. (ii) Reconstitution of various Committees of the Board of the Company- The details of committees reconstituted is enclosed as Annexure B. (iii) Dissolution of IPO Committee of the Company, in view of utilization of entire proceeds of IPO. The meeting of Board of Directors commenced at 3.00 pm and concluded at 3:50 pm.
