Prince Pipes and Fittings has informed that Shailesh Bhaskar, Company Secretary & Compliance Officer (Key Managerial Personnel - KMP) of the Company, has submitted his resignation with effect from close of business hours on 24th February, 2026 due to personal reason and in pursuit of better prospects. The Company has acknowledged his resignation, and he is relieved from his duties with effect from close of business hours on 24th February, 2026. Consequent to his resignation, he shall also cease to be the Nodal Officer of the Company appointed under Section 125 of the Companies Act, 2013 read with Rule 7(2A) of the Investor Education and Protection Fund (‘IEPF’) Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 for the purposes of verification of claims and coordination with the IEPF Authority and the Key Managerial Personnel authorized for the purpose of determining materiality of an event or information and for the purpose of making disclosures to the Stock Exchanges under Regulation 30 of the SEBI Listing Regulations, 2015. A copy of his resignation letter is attached as Annexure - B. Details required under Regulation 30 read with Para A of Schedule III (Part A) of Listing Regulations, along with the additional details required under the Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, and SEBI/HO/CFD/CFD PoD2/CIR/P/2024/185 dated December 31, 2024, are enclosed at Annexure - A.
