Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), and further to the earlier communication(s) dated 8th August, 2024, 27th September, 2024 and 14th November, 2024, 1st September, 2025, 18th September, 2025 and 19th September, 2025, regarding the Scheme of Amalgamation by way of merger between DiGiSPICE Technologies Limited (‘Transferee Company’), Spice Money Limited (‘Transferor Company 1’), E-arth Travel Solutions Private Limited (‘Transferor Company 2’) and Vikasni Fintech Private Limited (‘Transferor Company 3’) and their respective shareholders and creditors (the ‘Scheme’), Digispice Technologies has informed that a joint application in relation to the Scheme has been filed today i.e. on 7th March, 2026 with the Hon’ble National Company Law Tribunal (‘NCLT’), Delhi Bench. The physical filing of the said Application with the NCLT, Delhi Bench, shall be made in due course. The Scheme remains contingent upon obtaining the necessary statutory and regulatory clearances, including approvals from the NCLT, other competent authorities, as well as the respective shareholders and creditors of the companies involved (subject to any meeting dispensations granted by the NCLT), wherever applicable.
