Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Filmcity Media has informed that the Members of the Company have approved the regularisation of Prabhat Modi (DIN: 08193181) as a Non-Executive Non-Independent Director of the Company by way of Postal Ballot, the results of which were declared on April 16, 2026. Prabhat Modi (DIN: 08193181) was earlier appointed as an Additional Director of the Company by the Board of Directors with effect from March 13, 2026 and pursuant to the approval of the Members, his appointment has now been regularised as a Non-Executive Non-Independent Director, liable to retire by rotation. Further, in compliance with SEBI Circular dated June 20, 2018, we hereby confirm that Mr. Prabhat Modi (DIN: 08193181) is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other authority. The details required under Regulation 30 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026 are enclosed as Annexure A.
