Pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, ADC India Communications has informed that it enclosed a copy of the Postal Ballot Notice dated March 14, 2026, to seek approval of the Members of the Company for the following resolutions: 1. Appointment of Lin Xia Smyth (DIN:11525342) as Non-Executive Non-Independent Director. 2. Appointment of N. Vineeth Chandran (DIN:07560696) as Non-Executive Non-Independent Director. 3. Material Related Party Transactions with CommScope India. In compliance with the provisions of the General Circular No. 03/2025 dated September 22, 2025 and other General Circulars issued by the Ministry of Corporate Affairs from time to time, the Postal Ballot Notice is being sent only through electronic mode to those Members whose names are recorded in the Register of Members of the Company or in the Register of Beneficial Owners maintained by the Depositories and whose email addresses are registered with Company / Registrar and Share Transfer Agent of the Company / Depository Participants/ Depositories as on Friday, March 20, 2026 (‘Cut-off date’) seeking their approval for the resolutions as set out in the Notice. The Company has engaged the services of KFin Technologies, Registrar and Share Transfer Agent of the Company for the purpose of providing remote e-voting facility to all its members. The remote e-voting period commences from 9.00 am (IST) on Wednesday, March 25, 2026, and ends at 5.00 pm (IST) on Thursday, April 23, 2026. The results of the Postal Ballot will be announced within two working days from the conclusion of e-voting period. The Postal Ballot Notice is also being made available on the website of the Company at www.adckcl.com and on the website of KFin Technologies at https://evoting.kfintech.com.
