Shalby has informed that this is in furtherance to letter no. Shalby/SE/2025‐26/96 dated February 17, 2026 regarding submission of the Postal Ballot Notice dated February 11, 2026 for getting approval of shareholders for re‐appointment of Shyamal Shivkumar Joshi (DIN: 00005766) as an Independent Director of the Company for second term of consecutive five years effective from May 17, 2026 till May 16, 2031. They submitted that the Special Resolution as embodied in the Postal Ballot Notice dated February 11, 2026 has been passed by the members with requisite majority. The aforesaid resolution is deemed to have been passed on the last date of e‐voting i.e. on Saturday, March 21, 2026. In this regard, they enclosed the following: 1. Voting results as required under Regulation 44(3) of the Securities & Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as Annexure-I; 2.
