Bharat Forge has informed that in reference to intimation dated February 12, 2026, informing the Stock Exchanges about the decision of the Board of Directors of the Company for re-appointment of B. P. Kalyani (DIN: 00267202) and S. E. Tandale (DIN: 00266833) as Whole-Time Directors, designated as Executive Directors of the Company for a further period of Five (5) consecutive years with effect from May 23, 2026 to May 22, 2031. In terms of Regulation 30 of the SEBI Listing Regulations, the Postal Ballot Notice for seeking approval of the Members by way of Ordinary Resolutions for the aforesaid appointments is enclosed as Annexure. In compliance with the General Circular nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 20/2020 dated May 5, 2020 and subsequent circulars issued in this regard, the latest being 03/2025 dated September 22, 2025 issued by the Ministry of Corporate Affairs (collectively referred to as MCA Circulars), the Postal Ballot Notice is being sent only through electronic mode to those Members whose e-mail addresses are registered with the Company/Depositories and whose names are recorded in the Register of Members or Register of Beneficial Owners maintained by the Depositories as on Friday, March 13, 2026 (Cut-off date).
