S H Kelkar and Company has informed that Rohit Saraogi, Group Chief Financial Officer and Key Managerial Personnel of the Company, has tendered his resignation from the services of the Company to pursue another career opportunity. His resignation will be effective from the close of business hours of July 30, 2025 when he would cease to be the Group Chief Financial Officer and Key Managerial Personnel of the Company. He shall also cease to be Key Managerial Personnel authorised for the purpose of determining materiality of an event or information and for the purpose of making disclosures to stock exchange(s) in terms of Regulation 30 of the Listing Regulations with effect from the close of business hours of July 30, 2025. The details as required under Regulation 30 of the Listing Regulations read with Part A of Schedule III of the Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are enclosed as Annexure I. The letter of resignation received from Rohit Saraogi containing detailed reasons for the resignation is enclosed as Annexure II.
